Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zimly mobile application and the website at zimly.ai (collectively, the "Service"), operated by Innoworx Technology Services ("we," "us," or "our").
By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old (or 18 in jurisdictions that require it, such as India under the Digital Personal Data Protection Act) to use the Service. By using Zimly you represent that you meet the applicable age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Account Registration & Security
- You may register using an email address (with one-time passcode or password) or through Google or Apple sign-in.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You agree to provide accurate information and keep it up to date.
- You must notify us immediately at support@zimly.ai if you suspect unauthorised access to your account.
- We may suspend or terminate accounts that violate these Terms or that we reasonably believe are compromised.
3. The Service
Zimly provides:
- Digital business cards — create, customise, and share professional profiles via QR codes, NFC cards, and short links.
- Contact management — capture, organise, tag, and add notes to professional contacts, including business card scanning.
- Connect Rooms — real-time networking sessions where participants exchange cards.
- AI-powered features— contact enrichment, profile summaries, voice note transcription, relationship insights, and the "Ask Me" conversational assistant.
- NFC smart cards — physical NFC-enabled cards available for purchase that link to your digital profile.
- Integrations — optional CRM sync (HubSpot, Salesforce, Zoho) and data export.
4. Subscriptions & Payments
4.1 Plans
Zimly offers free and paid subscription plans (e.g. Pro, Enterprise). Feature limits vary by plan and are described in the app and on our website.
4.2 Billing
- Mobile purchases are processed through the Apple App Store or Google Play Store and are subject to their respective terms. Payment will be charged to your Apple ID or Google account at confirmation of purchase.
- Web purchases are processed through Stripe (international) or Razorpay (India). Payment details are handled directly by these processors and are never stored on our servers.
- Subscriptions auto-renew at the end of each billing period unless you turn off auto-renewal at least 24 hours before the end of the current period. The renewal charge is applied within 24 hours before the end of the current period.
- You can manage and cancel subscriptions in your device's account settings — for iOS, go to Settings → [your name] → Subscriptions; for Android, go to Google Play → Payments & subscriptions → Subscriptions.
4.3 Cancellation & Refunds
- You may cancel your subscription at any time. Access continues until the end of the current billing period.
- Refunds for mobile purchases are handled by Apple or Google per their refund policies.
- Refunds for web purchases may be requested within 14 days of the initial charge by contacting support@zimly.ai.
- Physical NFC card orders are non-refundable once shipped unless the product is defective.
5. User Content & Conduct
5.1 Your Content
You retain ownership of all content you upload or create ("User Content"), including profile information, contact data, photos, voice recordings, and notes. By using the Service, you grant Zimly a limited, worldwide, non-exclusive, royalty-free licence to host, store, display, and transmit your User Content solely to provide and improve the Service.
5.2 Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload content that is defamatory, obscene, fraudulent, or that infringes any third party's intellectual property or privacy rights.
- Impersonate any person or entity or misrepresent your affiliation.
- Scrape, crawl, or use automated means to access the Service without our written permission.
- Attempt to gain unauthorised access to other users' accounts, our systems, or any data not intended for you.
- Interfere with or disrupt the Service's infrastructure, including through denial-of-service attacks or malware.
- Resell, redistribute, or sublicence access to the Service.
- Harvest or collect other users' personal information without their consent.
- Use the Service to send unsolicited bulk messages or spam.
We reserve the right to remove content and suspend or terminate accounts that violate these Terms.
5.3 Content Moderation
We maintain systems and processes to filter objectionable material, including automated and manual review. Users may report inappropriate content or abusive behaviour through the in-app "Report" feature or by emailing support@zimly.ai. We review reports promptly and take action where warranted, including content removal and account suspension. You may also block other users from interacting with you.
6. AI Features
- AI-generated content (enrichment, summaries, insights) is provided for informational purposes and may contain inaccuracies. You are responsible for reviewing and verifying AI output before relying on it.
- AI features are subject to monthly usage limits based on your plan.
- You may disable AI processing at any time in Settings → Data & Privacy.
- We do not use your data to train AI models. Data is sent to our AI provider (Anthropic) only for real-time processing.
7. NFC Cards & Physical Products
- NFC cards are sold as physical products. Delivery estimates are provided at checkout and may vary.
- You are responsible for providing an accurate shipping address.
- NFC cards link to your digital profile and are designed to be claimed once. If you lose a card, you can deactivate it from the app.
- We are not responsible for NFC incompatibility with specific devices that do not support NFC technology.
8. Connect Rooms
- Connect Rooms facilitate real-time professional networking. Room hosts set participant limits and card visibility rules.
- Room data is retained for 90 days after the room closes, then permanently deleted.
- Guest participants (without a Zimly account) may join via web and their data is handled per our Privacy Policy.
- You agree not to use Rooms to harass, spam, or distribute inappropriate content.
9. Intellectual Property
The Service, including its design, code, branding, logos, and documentation, is owned by Innoworx Technology Services and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, trade names, or logos without prior written consent.
Open-source components are used under their respective licences, which are available in the app's acknowledgements section.
10. Account Termination
10.1 By You
You may delete your account at any time via Settings → Delete Account. Deletion enters a 30-day grace period during which you can reactivate. After 30 days, all data is permanently removed.
10.2 By Us
We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice when reasonably possible. On termination, your licence to use the Service ends.
10.3 Effect of Termination
Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, Governing Law, and Intellectual Property) will remain in effect.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
- AI-generated content may be inaccurate. We disclaim liability for decisions based on AI output.
- NFC and QR code functionality depends on device hardware compatibility.
- Third-party integrations (CRM, payment providers) are subject to their own terms and availability.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Zimly, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.
- These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we were advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Zimly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third party's rights.
14. Dispute Resolution
We encourage you to contact us first at support@zimly.ai to resolve any dispute informally. If a dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules, seated in San Diego, California, United States. Arbitration shall be conducted in English. Each party bears its own costs unless the arbitrator rules otherwise.
You agree to resolve disputes on an individual basis. Class actions and class arbitrations are not permitted under these Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles. Subject to the arbitration clause above, the state and federal courts located in San Diego County, California shall have exclusive jurisdiction over any disputes.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes through the app or by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. General Provisions
- Entire agreement — these Terms and the Privacy Policy constitute the entire agreement between you and Zimly.
- Severability — if any provision is held unenforceable, the remaining provisions continue in full force.
- Waiver — failure to enforce a right does not constitute a waiver of that right.
- Assignment — you may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.
- Force majeure — we are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, wars, pandemics, infrastructure failures).
